Sofia is a dual-licensed attorney in Chile and California, currently based in San Francisco. With a wealth of experience in diverse legal matters, including corporate law, she has been instrumental in acquiring new clients and navigating them through intricate M&A transactions, financing rounds, corporate restructuring, and joint ventures. Since joining the firm in November 2023, Sofia has demonstrated her expertise across diverse industries, including energy, technology, financial services, biotech, hardware development, and manufacturing.

In her current role, Sofia has managed high-stakes deals for venture capital firms with investments exceeding $2 billion, particularly focusing on seed to Series C rounds for startups valued over $50 million. Sofia expertly navigates clients through complex M&A transactions, where she leads due diligence processes, structures and negotiates deal terms, and manages the execution of acquisition and merger agreements to ensure seamless integration and value maximization. In financing rounds, she advises on the structuring of capital raises, including equity and debt financing, negotiating term sheets, investment agreements, and related documentation to secure optimal terms for her clients. Her experience in corporate restructuring involves guiding companies through reorganizations, debt restructurings, and recapitalizations, ensuring that these processes align with both strategic objectives and legal compliance, while mitigating risks and enhancing operational efficiency.

Before her current position, Sofia amassed a broad scope of experience as outside counsel, in-house counsel, and advisor. Her diverse background includes white-collar crime litigation and the development of crime prevention compliance programs, where she established corporate policies and conducted internal investigations. Additionally, Sofia has extensive experience in regulatory compliance, including KYC, AML, FCPA, and ESG standards, ensuring that her clients remain compliant with evolving global regulations. She also has a strong track record in project finance, particularly within the energy sector, where she has advised on structuring and financing renewable energy projects.
